This web page represents a legal document and is the Terms and Conditions (“Terms”) for our website latinxtherapy.com (“Website”). By using our Website you agree to fully comply with and be bound by the following Agreement each time you use our Website. Please review the following terms carefully.

Definitions

The terms “we”, “us”, and “our” refer to Latinx Therapy.  The term “Site” refers to latinxtherapy.com and latinxtherapy.club. The term “user,” “you” and “your” refers to site visitors, customers and any other users of the site.

All text, information, graphics, design, photos, images, materials, documents, data and intellectual property accessible on or offered through our Website or Services, are collectively known as our “Content” is our property and is protected by the United States intellectual property laws.  On the Site we provide information related to mental health, mental illness, and therapy (the “Service”).

Use of the Site including all materials presented herein and all online services provided by us, whether made available for purchase or not is subject to the following Terms.  These Terms apply to all site visitors, customers, and all other users of the site.  By using the Site or Service, you agree to these Terms, without modification, and acknowledge reading them.

Intellectual Property Rights

The Site and/or Service contain intellectual property owned by Latinx Therapy, including, without limitation, trademarks, copyrights, proprietary information and other intellectual property as well as the Latinx Therapy name, logo, all designs, text, graphics, other files, and the selection and arrangement thereof, also termed the “look and feel.” Your use of our Website or Services does not constitute any right or license for you to use our service marks or trademarks without the prior written permission of Latinx Therapy.

You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the Site, Service, Content or intellectual property, in whole or in part without our prior written consent.  We reserve the right to immediately remove you from the Site and/or Service, without refund, if you are found to be violating this intellectual property policy.

You are permitted to enjoy the content of our website for your personal, non-commercial use.

You are permitted to hypertext link to the content of our website provided that you give full attribution and credit by name, keep intact all copyright, trademark and other proprietary notices and, if used electronically, you must include the link back to the website page from which the content was obtained.

Our content, as found within our Website and Services, is protected under United States intellectual property rights laws.  Copying, redistribution, use or publication for commercial use by you of any such Content is a violation of our intellectual property rights.   Your use of our Website and Services does not grant you any ownership right to our Content.

Limited License

We grant you a nonexclusive, nontransferable, revocable license to access and use our Website and Services strictly in accordance with this Agreement. Your use of our Website and Services are solely for internal, personal, noncommercial purposes, unless otherwise provided in this Agreement. No printout or electronic version of any part of our Website or Services may be used by you in any litigation or arbitration matter whatsoever under any circumstances.

Your License to Us

You grant us a license to use the information and materials you post to our Website.  By posting, displaying, transmitting, performing, or otherwise distributing information or other content (“Visitor Content”) to our Website, you are granting us and any affiliates, a license to use the Visitor Content in connection with the operation of our business, including without limitation, a right to distribute, copy, transmit, publicly display, reproduce, translate, edit, and reformat your Visitor ­content. You understand and agree that you will not be compensated for any Visitor Content. By posting Visitor Content on our Website or Service, you warrant and represent that you own the rights to the Visitor Content or are authorized to post, display, distribute, perform, or transmit Visitor Content.

Membership

Each membership tier is set up for single account users.  If you are a group practice, please see below under Posting Rules (i). 
Due to the directory being a digital service, refunds are not provided for membership while your profile was active.

Listing Approval Time:

Profiles will be verified and will show on the map within 2-5 business days of being submitted, unless there is an error it could take more time.

Please see ‘Posting Rules’ below for more information on group practice guidelines and listings.

 

Payment for Directory Memberships & Instagram Ads:

1. (a) Upon execution of this Agreement, Member agrees to pay Latinx Therapy the purchase amount as stated on the Website.  
2. (b)No refunds will be provided.   
3. (c) Members who choose a yearly membership commit to a one (1) year term to the membership at $180 per year. If Members remove profile earlier than the annual due, no credit or prorate will be provided. 
4. For the $9, $21 or $13/month plans, Member signs up for one (1) month free trial to the Membership, After the initial one (1) month free trial, Member will be billed automatically every (30) days and debited via the account information included upon purchase.
5. (e) Credit Card Authorization.  Each party hereto acknowledges that Company will charge the credit card chosen by the Member on the dates and for the amounts specified upon purchase and as included in this Agreement. Stripe is the credit card processor for Latinx Therapy.
6. (f) In the event Member fails to make any of the payments as outlined above, Latinx Therapy has the right to immediately disallow services and benefits of the Membership until payment is paid in full. 

7.     (g) Cancellation of Plans: Listing and account information will be kept inactive on website for 3 months, unless expressed otherwise via email. After 3 months, we will delete all information from your listing. If you plan to return to the directory, we encourage you to email us before the 4 month expiration mark and notify us so we keep your listing and account information.

8.    (h) Instagram Ad Program: For any edits and reposts a cost of $10 will be expected, per publishing. This program is included in the Standard and Premium plans.  For Basic tier members, a cost of $25/calendar year will be expected, and each published edits will require an additional $10. 
For all tiers: any extra Instagram ad is $25/calendar year.

• Dashboard: Your account portal includes a dashboard filled with statistics to show you how many views your profile receives and from which devices.
• Searchable Listings: Potential clients can find you through the directory. 
• Organizational Details: Input details about your practice including, your therapist statement, specialties, modalities & client ages you serve.
• Built-in Contact Form: Potential clients can reach you directly from your profile.
• Social Media Links: Link for social media platforms such as: Instagram, Facebook, LinkedIn & YouTube.
• Map Directions: A map is embedded in your profile to give potential clients a geographic visual of where your practice is located.

 

Standard & Monthly Membership

• Dashboard: Your account portal includes a dashboard filled with statistics to show you how many views your profile receives and from which devices.
• Exclusive Membership community with access to pre-recorded selected group consultations & downloadable files via LatinxTherapy.club. This will have a separate login and will be active as long as you are an active member.
• Searchable Listings: Potential clients can find you through the directory. 
• Direct Contact Info: Include your phone number on your profile
• Organizational Details: Input details about your practice including, your therapist statement, specialties, modalities & client ages you serve.
• Built-in Contact Form: Potential clients can reach you directly from your profile.
• Social Media Links: Link for social media platforms such as: Instagram, Facebook, LinkedIn & YouTube.
• Map Directions: A map is embedded in your profile to give potential clients a geographic visual of where your practice is located.

 

Plus:

• Profile Ad on Instagram: A brief summary of 3 of your chosen specialties will be listen in our Instagram’s highlight section.
• Media Opportunities: From time to time, we receive requests for Latinx Therapists to participate in radio, IG, or other interviews. We reach out to members in Standard/Premium tiers via LatinxTherapy.club community to participate. This also includes casual Instagram, Facebook or TikTok features using information in your listing.
• Exclusive Partner Projects: Latinx Therapy is a trusted national resource of therapists and organizations often ask us to be part of exclusive projects.
• Discounts for most Latinx Therapy offerings**, plus:
• Direct Contact Info: Therapist address and phone numbers can be listed in profile.
• Embed Video: Include a YouTube or other video URL to your profile.
• Scheduling Booking Integration: Include your booking URL link
• Link To Website: Include one website URL in your profile.
• Image Gallery: Post up to 4 images of your office, yourself, or your logo.

**Consultations with Founder, Adriana Alejandre, include a $40 discount off the first 3 of her individual business consultations, after any trial period has ended. The code can be found in the LatinxTherapy.club website that is included in paid membership.

By registering to the Latinx Therapy directory and membership, Therapists are agreeing to the following core values:

‘Therapy Dinero’ Program under Alejandre Foundation:

Alejandre Foundation program under Latinx Therapy: The Alejandre Foundation is a registered 501(c)(3) nonprofit founded by Latinx Therapy in efforts to further create access to therapy services and building mental health equity in Latinx and Hispanic communities. Members agree to accept a fee of $100/session for 8 sessions under the program, if they are chosen by a recipient. Visit alejandrefoundation.org for more information.

Lawful Purposes

You may use the Site and/or Service for lawful purposes only.  You agree to use the Site and/or Service and to purchase services or products through the Site for legitimate, non-commercial purposes only. You shall not post or transmit through the Site and/or Service any material which violates or infringes the rights of others, encourages conduct that would constitute a crime or for fraudulent purposes.

Posting Rules.

i) GROUP PRACTICES: Listings prices are per person. If you are the owner of a group practice, you are welcomed to create one listing for your practice, so long that the title reflects the name of your practice rather than multiple names of individuals. Account holders may include their group practice clinician’s images and bios in their listing bio. Images in the gallery may reflect those in the bio. Profile Image should reflect the logo of the practice or a group photo of some, or all your clinicians. Membership perks are assigned to one person, and cannot alternate among multiple members of the practice. 

ii) Materials you post to the Site may not contain: (1) URLs or links to web sites that compete with the Site; (2) copyrighted material (unless you own the copyright or have the owner’s permission to post the copyrighted material); (3) trade secrets (unless you own them or have the owner’s permission to post them); (4) material that infringes on or misappropriates any other intellectual property rights, or violates the privacy or publicity rights of others; (5) anything that is sexually explicit, obscene, libelous, defamatory, threatening, harassing, abusive, or hateful; or (6) anything that is embarrassing or offensive to another person, group or entity. 

iii) You may not use your Materials to: (1) impersonate another person, living or dead; (2) post false, inaccurate or misleading information; (3) except as provided in your directories of you own services, post advertisements or solicitations of business (including, but not limited to, franchises, “club memberships,” distributorships, or anything requiring a monetary investment, including a request for payment to obtain job listings); (4) post chain letters or pyramid schemes; or (5) post opinions or notices, commercial or otherwise. 

iv) Materials that encourage our users to “email for more details” are not permitted. Materials from any third party charging a fee are not permitted. 

v) We are under no obligation to monitor the materials posted on the Site by users, but we may monitor materials at random. Any materials we find in our discretion to violate these Terms of Use may be removed. If we are notified by a user that any user materials on the Site violate these rules, we may investigate and determine in good faith whether we agree with such allegation, in which case we may remove or request the removal of user materials. We are not required to make any such investigation or to remove any user materials, and we will not be liable to any user for taking or not taking such actions.

Our Relationship to You

This Agreement in no way creates any agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between you and Latinx Therapy.

Privacy Policy

Our Privacy Policy is considered part of this Agreement and available on this website.  You must review our Privacy Policy by clicking on this link. If you do not accept and agree to being bound by these Terms, including the LatinxTherapy.com Privacy Policy, do not use this Website or our Services.

Choice of Law and Jurisdiction

These Terms will be treated as if it were executed and performed in Los Angeles, CA and will be governed by and construed in accordance with the laws of California without regard to conflict of laws provisions. In addition, you agree to submit to the personal jurisdiction and venue of such courts.  Any cause of action by you with respect to our Website or Service must be instituted within one (1) year after the cause of action arose or be forever waived and barred.

Dispute Resolution

Any legal controversy or claim arising from or relating to these Terms and/or our Service, excluding legal action taken by us to collect or recover damages for, or obtain any injunction relating to website operations, intellectual property, and our Service will be settled solely by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association.  Any such controversy or claim will be arbitrated on an individual basis, and will not be consolidated in any arbitration with any claim or controversy of any other party.

The arbitration will be conducted in Los Angeles, CA, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.  You or we may seek any interim or preliminary relief from a court of competent jurisdiction in Los Angeles, CA necessary to protect the rights or property of you and us pending the completion of arbitration.

Unlawful Activity

We reserve the right to investigate complaints or reported violations of these Terms and take any action we deem appropriate, including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information.

YOUR RIGHTS REGARDING THE USE OF YOUR PERSONAL INFORMATION 
You have the right at any time to prevent us from contacting you for marketing purposes. Please note that signing up for a profile at Latinx Therapy automatically adds you to the mailing list where you will receive periodic updates, news and marketing from Latinx Therapy. When we send communications to a user, the user can opt out of further communications by unsubscribing in the account settings. 

Information you provide us by registering for an account 
In addition to the information provided automatically by your browser when you visit the site, to become a subscriber to the directory service you will need to create a personal profile. You can create a profile by registering with the Service and entering your email address, and creating a user name and a password. By registering, you are authorizing us to collect, store and use your email address in accordance with this Privacy Policy. 

HOW WE USE AND SHARE INFORMATION 
Personal Information: 
Except as otherwise stated in this Privacy Policy, we do not sell, trade, rent or otherwise share for marketing purposes your Personal Information with third parties without your consent. We do share Personal Information with vendors who are performing services for the Company, such as the servers for our email communications who are provided access to user’s email address for purposes of sending emails from us. Those vendors use your Personal Information only at our direction and in accordance with our Privacy Policy. 
In general, the Personal Information you provide to us is used to help us communicate with you. For example, we use Personal Information to contact users in response to questions, solicit feedback from users, provide technical support, and inform users about promotional offers. 

Non-Personal Information: 
In general, we use Non-Personal Information to help us improve the service and customize the user experience. We also aggregate Non-Personal Information in order to track trends and analyze use patterns on the Site. This Privacy Policy does not limit in any way our use or disclosure of Non-Personal Information and we reserve the right to use and disclose such Non-Personal Information to our partners, advertisers and other third parties at our discretion. 

HOW WE PROTECT INFORMATION

We implement security measures designed to protect your information from unauthorized access. Your account is protected by your account password and we urge you to take steps to keep your personal information safe by not disclosing your password and by logging out of your account after each use. We further protect your information from potential security breaches by implementing certain technological security measures including encryption, firewalls and secure socket layer technology. However, these measures do not guarantee that your information will not be accessed, disclosed, altered or destroyed by breach of such firewalls and secure server software. By using our Service, you acknowledge that you understand and agree to assume these risks. 

REFUNDS.

Latinx Therapy does not offer refunds.

Refund Policy for Continuing Education Units
No refunds are permitted for online courses/webinars. Credit for a future course will be provided for online courses/webinars. Registrants who do not complete their course(s) will not receive a refund. Registrants who purchased the course but did not achieve a passing grade, will not receive a refund.

Requests for refunds for live events must be in writing and received before one week prior to the event. A $10 administrative fee will be deducted for cancellation of a paid event, through the cancellation deadline. There will be no refunds on requests received after one week prior to the event. Please allow 3-5 days for your refund to be issued. Provider will have discretion to issue refunds that do not comply with the policy. A $20 charge will be applied to credit card denials.

Should provider be unable to present in case of an emergency, provider will provide full refund to all participants and inform them of the cancellation through email and phone (if need be).

Links to Other Websites
Our Website may from time to time contain links to third party websites.  Inclusion of links for any website on our Website does not mean that we endorse, guarantee, warrant, or recommend the services, information, content, and/or data of such third-party websites. Latinx Therapy has no control over the privacy practices of third-party websites; you access any third-party websites at your own risk. We recommend that you review the privacy policy and terms and conditions of those sites to fully understand what information is collected and how it is used.

Indemnification
You agree to indemnify, defend, and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates free from any liability, loss, claim, and expense, including reasonable attorney’s fees, related to your violation of these Terms or use of our Website or Services.

Termination We may terminate your access to the Site, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. 

 

Severability and Survival
Should any part of these terms be held invalid or unenforceable, that portion will be construed consistent with applicable law and the remaining portions will remain in full force and effect.  To the extent that any Content is in conflict or inconsistent with this Agreement, this Agreement will take precedence. Our failure to enforce any provision of this Agreement will not be deemed a waiver of such provision, nor of the right to enforce such provision. Our rights under this Agreement will survive any termination of this Agreement.

LIMITATION OF LIABILITY
YOU AGREE THAT UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR ANY OTHER DAMAGES ARISING OUT OF YOUR USE OF THE SITE OR SERVICE. ADDITIONALLY, LATINX THERAPY IS NOT LIABLE FOR DAMAGES IN CONNECTION WITH (I) ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, DENIAL OF SERVICE, ATTACK, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS OR LINE OR SYSTEM FAILURE; (II) LOSS OF REVENUE, ANTICIPATED PROFITS, BUSINESS, SAVINGS, GOODWILL OR DATA; AND (III) THIRD PARTY THEFT OF, DESTRUCTION OF, UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF YOUR INFORMATION OR PROPERTY, REGARDLESS OF OUR NEGLIGENCE, GROSS NEGLIGENCE, FAILURE OF AN ESSENTIAL PURPOSE AND WHETHER SUCH LIABILITY ARISES IN NEGLIGENCE, CONTRACT, TORT, OR ANY OTHER THEORY OF LEGAL LIABILITY. THE FOREGOING APPLIES EVEN IF LATINX THERAPY  HAS BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN THE DAMAGES. IN THOSE STATES THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR THE DAMAGES, OUR LIABILITY IS LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY LAW. IN NO EVENT SHALL LATINX THERAPY’S  CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL PURCHASE PRICE OF THE SERVICE YOU HAVE PURCHASED FROM THE SITE, AND IF NO PURCHASE HAS BEEN MADE BY YOU, LATINX THERAPY’S  CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED $150.

No Warranty or Liability
The information presented on latinxtherapy.com is provided “as is” and “as available,” without representation or warranty of any kind. Latinx Therapy does not represent or warrant that such information is or will be always current, complete, or accurate. Any representation or warranty that might be otherwise implied is expressly disclaimed.

You agree that Latinx Therapy is not liable to you or others, in any way or for any damages of any kind, arising from the use of latinxtherapy.com, including, but not limited to, liability or damages caused by viruses contained within electronic files of this site or any linked site, regardless of prior notice to our office.

Changes to Our Terms and Conditions
We reserve the right to change these Terms and Conditions at any time by giving you advanced notice of the changes by email or in writing.  We will also post these changes on our website. These changes will become effective 30 days after receiving the notice.  To avoid doubt, no unilateral amendment will retroactively change agreed dispute-resolution provisions of these Terms and Conditions, if any, including, for example, arbitration provisions for then-pending disputes unless the parties expressly agree otherwise. Your continued use of our Website, Services, and Products after any change to these Terms and Conditions and notifying you will constitute your acceptance of such change. If you do not agree with the changes to these Terms and Conditions, you can choose to discontinue the use of our Website, Services, and Products.

LATINXTHERAPY.COM is certified under the EU-U.S. Privacy Shield Frameworks as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information transferred from the EU to the United States, respectively. If there is any conflict between the terms in this Policy and the Privacy Shield Principles, the Privacy Shield Principles shall govern.
